Course Description
Overview
This 2 day course focuses on documentation used in corporate loans, including securities and guarantees.
Gain practical knowledge and understanding of the following:
·features of different loan transactions
·types of securities
·pre-contractual loan documentation
·standard ‘boilerplate’ clauses in loan documentation
·Negotiating representations, covenants and events of default.
·interbank markets
·due diligence
·transfer of loan obligations
·potential issues in the drafting and negotiation of guarantees and letters of support
·implication of insolvency
